Terms & Conditions
These Terms & Conditions (“Terms”) are an agreement between you and Manas Bhadarka, sole proprietor, carrying on business in India as a GST-registered firm under the trade name DWARONE (“DWARONE”, “we”, “us”, or “our”). They govern access to and use of our websites, products, software, APIs, and services — including SaaS web applications offered to customers worldwide, paid plans, and subscriptions. By creating an account, starting a trial, making a payment, or using any DWARONE product, you agree to these Terms.
If you are using a product on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
01 Who we are
Manas Bhadarka is the founder and sole proprietor of DWARONE, a GST-registered firm in India. DWARONE (Digital Workforce with Autonomous Resources in One Networked Environment) is the trade name under which the firm designs, owns, and operates purpose-built technology products, including SaaS web applications used by customers internationally. Individual products — including DANexus and any product launched later — are owned by the proprietor trading as DWARONE unless we say otherwise.
The contracting party is Manas Bhadarka, sole proprietor of DWARONE, not a company or limited-liability entity. The firm is established in India and offers products globally, subject to these Terms and to laws that apply in your country. For supplies that are taxable in India, GST is charged and reported under Indian GST law. The GSTIN and principal place of business appear on tax invoices issued by the firm.
02 Products and additional terms
These Terms apply to all DWARONE properties, including:
- the DWARONE website and related marketing or documentation sites;
- SaaS web applications, dashboards, APIs, and client software we provide;
- accounts, workspaces, billing, and subscription management;
- any other product or service we make available under the DWARONE name.
A specific product may publish additional terms, an order form, or a plan description. Those product-specific terms apply to that product. If they conflict with these Terms, the product-specific terms control for that product only.
Products are offered to users worldwide. We may restrict, suspend, or refuse access in a country or territory where providing the product would be unlawful, impractical, or subject to sanctions or export controls. You are responsible for using the products only where it is legal to do so.
03 Eligibility and accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or purchase a subscription. You must provide accurate account information and keep it up to date.
You are responsible for all activity under your account and for keeping credentials confidential. Notify us promptly if you believe an account has been compromised. We may refuse, suspend, or close accounts that we reasonably believe violate these Terms or create risk to DWARONE, other customers, or the products.
Organization accounts may have administrators who can manage users, billing, and access. Those administrators are responsible for use of the product by people they invite.
04 Subscriptions, billing, and payments
Some products are offered on a paid subscription basis (for example monthly or annual plans), as one-time purchases, usage-based billing, or a mix of these. Plan features, limits, prices, and billing currency are shown at checkout, in the product, or on an order form. International cards and payment methods may be accepted through our payment processors; currency conversion, if any, is handled by the processor or your bank.
Auto-renewal
Subscriptions renew automatically at the then-current price for the same term unless you cancel before the renewal date. You authorize us and our payment processors to charge the payment method on file for recurring fees, applicable taxes, and any usage overages you incur.
Payment methods
Payments are processed by third-party payment providers. We do not store full payment-card numbers. You must keep a valid payment method on file for paid plans. Failed or overdue payments may result in suspension, downgrade, or termination of access.
Price changes
We may change prices or plan structure. For an existing subscription, we will give reasonable notice before the change applies to your next renewal, except where a change is required by law or a payment provider.
Cancellation
You may cancel a subscription at any time in the product billing settings or by emailing [email protected]. Cancellation takes effect at the end of the current paid period unless we state otherwise. You remain responsible for fees already incurred. We do not provide prorated refunds for unused time except where required by law or where we expressly offer a refund.
Trials
If we offer a free trial, we will describe its length and what happens when it ends. If a paid plan starts after a trial, the payment method you provided may be charged unless you cancel before the trial ends.
Taxes
Fees are exclusive of taxes unless stated otherwise. For supplies taxable in India, Goods and Services Tax (GST) and any other applicable Indian tax will be charged as required and shown on the tax invoice, together with the firm’s GSTIN.
For customers outside India, we may collect VAT, GST, sales tax, or similar taxes where we are legally required to do so. Where we are not required to collect a tax, you are responsible for any tax, duty, or similar charge that applies in your country. You must provide accurate billing country and tax-identification details so the correct tax treatment can be applied.
Refunds
Except where required by law, fees are non-refundable once a billing period has started. If we cancel a paid product for reasons other than your breach, we may refund unused prepaid fees for the remaining term at our discretion.
05 Your content and customer data
You retain ownership of content, data, and materials you submit to a product (“Customer Data”). You grant DWARONE a worldwide license to host, process, transmit, display, and otherwise use Customer Data only as needed to provide, maintain, secure, and improve the products, to prevent abuse, and to comply with law.
You represent that you have the rights needed to submit Customer Data and that it does not violate law or third-party rights. You are responsible for backing up Customer Data unless a product expressly includes a backup commitment.
After an account is closed, we may retain Customer Data for a limited period for legal, security, or backup purposes, then delete or de-identify it in the ordinary course of operations. Product-specific documentation may describe export options.
06 Acceptable use
You may not, and may not allow others to:
- use a product for unlawful, harmful, or fraudulent purposes;
- infringe intellectual property, data-protection, or other rights;
- probe, scan, or attack our systems, or circumvent access or usage limits;
- resell, sublicense, or provide a product to third parties except as we expressly allow;
- copy, reverse engineer, or create derivative works of the products except where the law allows;
- upload malware, or interfere with other customers’ use of a product;
- use a product to send spam or unsolicited bulk communications;
- use a product in a country or for a purpose prohibited by applicable sanctions, export-control, or similar laws.
We may investigate suspected violations and suspend or terminate access where we reasonably believe these Terms have been broken.
07 Intellectual property
DWARONE, the DWARONE logo, DANexus, and all other product names, logos, software, designs, documentation, and related materials are owned by Manas Bhadarka (trading as DWARONE) or our licensors. These Terms do not transfer any ownership to you. We grant you a limited, non-exclusive, non-transferable right to use the products you subscribe to, solely for your internal business or personal use, for the term of your plan.
Feedback you send us may be used by DWARONE without restriction or compensation.
08 Third-party services
Products may integrate with third-party services, including payment processors, hosting, analytics, identity, and other tools. Those services are governed by their own terms and policies. DWARONE is not responsible for third-party services we do not control.
09 Availability, changes, and support
We aim to keep products available worldwide, but we do not guarantee uninterrupted or error-free operation, or availability from every country or network. We may modify, suspend, or discontinue features, products, or APIs. Where a change is material to a paid plan, we will provide reasonable notice when practical.
Support, if offered, is described in the relevant product or plan. Unless a separate service-level agreement is signed, no uptime or response-time commitment applies.
10 Confidentiality
If we exchange non-public information in connection with a product, each party will use it only for that purpose and protect it with reasonable care. This does not apply to information that is public, independently developed, or required to be disclosed by law.
11 Termination
You may stop using a product and close your account at any time. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if we discontinue a product. Upon termination, your license to use the product ends. Sections that by their nature should survive (including intellectual property, payment obligations already incurred, disclaimers, and limitation of liability) will survive.
12 Disclaimers
Products and the website are provided “as is” and “as available”. To the fullest extent permitted by law, DWARONE disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that products will meet your requirements or be free of defects or security issues.
13 Limitation of liability
To the fullest extent permitted by law, DWARONE will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from these Terms or use of the products.
Our total liability for any claim relating to a product will not exceed the amounts you paid to DWARONE for that product in the twelve (12) months before the claim. These limits do not apply to liability that cannot be limited under applicable law.
14 Indemnity
You will defend and indemnify DWARONE against claims, damages, and costs (including reasonable legal fees) arising from your Customer Data, your use of the products, or your breach of these Terms.
15 Changes to these Terms
We may update these Terms from time to time. The effective date will change when we do. For material changes that affect paid customers, we will provide notice through the product, by email, or on this page. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the products and cancel any subscription.
16 General
These Terms are the entire agreement between you and Manas Bhadarka, sole proprietor of DWARONE, for the products, unless a signed order or product-specific agreement says otherwise. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a transfer of the business. Failure to enforce a provision is not a waiver.
These Terms are governed by the laws of India. Subject to the next paragraph, courts in India have jurisdiction over disputes arising from these Terms.
If you are a consumer, nothing in these Terms limits rights you cannot lawfully waive under the consumer-protection, data-protection, or similar laws of the country where you live. Those mandatory rights apply in addition to these Terms.
